Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "Customer") and Talentee LLC ("Kolva", "we", "us", or "our"), governing your access to and use of the Kolva platform, including all associated services, applications, and APIs (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service
Kolva is an AI-powered platform for field sales teams and financial performance management. The Service includes:
• Field Sales Hub: Visit management, client tracking, route optimization, AI briefings and debriefs, pipeline management, quoting, gamification, territory management, digital business cards, and team analytics
• Finance Hub: Multi-entity financial consolidation, reporting, AI-powered financial analysis, and ERP integration
• AI Features: Automated insights, predictions, coaching, natural language chat, voice-to-text, and intelligent recommendations
• Integrations: CRM connectors (Salesforce, HubSpot, Zoho, etc.), ERP connectors (Sage X3, SAP), and API access
• Mobile Application: Progressive Web App (PWA) with offline capabilities
The specific features available to you depend on your subscription plan (Starter, Pro, or Enterprise).

Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that all users added to your organization have agreed to these Terms
We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms. One person or entity may not maintain more than one free trial account.

Subscription Plans and Payment
Kolva offers several subscription tiers:
Field Hub Plans:
• Starter ($49/user/month): Core features without AI capabilities
• Pro ($89/user/month): Full platform with all AI features
• Enterprise (custom pricing): Advanced features, dedicated support, custom integrations
Finance Hub Plans:
• Solo ($499/month): 1-2 entities
• Multi ($499 + $349/additional entity/month): 3-19 entities
• Enterprise (custom pricing): 20+ entities
Payment terms:
• Subscriptions are billed monthly or annually in advance
• Annual subscriptions receive a discount as displayed at checkout
• All prices are in US dollars and exclusive of applicable taxes
• Payment is processed securely through Stripe
• Failed payments may result in service suspension after a 7-day grace period
• Seat count adjustments are prorated for the current billing period
Free trial:
• New accounts receive a 21-day free trial with access to all features
• No credit card required to start a trial
• Trial accounts are automatically downgraded or deactivated after the trial period

Acceptable Use
You agree not to:
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts to collect information from or interact with the Service (except through our official API)
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to store or transmit content that infringes intellectual property rights
• Exceed reasonable usage limits or abuse API rate limits
• Share login credentials between multiple individuals
• Use the AI features to generate harmful, deceptive, or misleading content
• Circumvent any feature limitations or access controls of your subscription plan
We reserve the right to suspend or terminate access for violations of this policy.

Customer Data
"Customer Data" means all data that you or your users upload, enter, or transmit through the Service. You retain all ownership rights to your Customer Data.
You grant Kolva a limited, non-exclusive license to use, process, and store Customer Data solely for the purpose of providing and improving the Service. This includes:
• Processing data through our AI features to generate insights and recommendations
• Storing data in our database infrastructure
• Creating anonymized, aggregated statistics to improve the Service (no individual identification)
• Backing up data for disaster recovery
We will not access your Customer Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations. All access to Customer Data is logged and auditable.
Upon termination, you may export your Customer Data for 30 days. After this period, Customer Data will be deleted in accordance with our data retention policy.

Intellectual Property
The Service, including its design, code, algorithms, AI models, documentation, and all related intellectual property, is owned by Talentee LLC and is protected by copyright, trademark, and other intellectual property laws.
"Kolva" and the Kolva logo are trademarks of Talentee LLC. You may not use our trademarks without prior written consent.
You retain ownership of your Customer Data. Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
AI-generated content (briefings, analyses, recommendations) is generated based on your data and is provided for your use. We do not claim ownership of AI outputs generated from your data.

Service Level and Availability
We strive to maintain high availability of the Service. For Enterprise customers, specific uptime commitments are defined in your Service Level Agreement (SLA).
For all customers:
• We target 99.9% uptime for the production Service
• Scheduled maintenance windows will be communicated at least 48 hours in advance
• We will use commercially reasonable efforts to minimize downtime
• Status updates are available at our status page
The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation. Downtime for maintenance, updates, or circumstances beyond our control does not constitute a breach of these Terms.

Third-Party Integrations
The Service integrates with third-party services (CRMs, ERPs, payment processors, AI providers). Your use of these integrations is subject to the respective third-party terms.
We are not responsible for:
• The availability or performance of third-party services
• Data loss or corruption caused by third-party service failures
• Changes to third-party APIs that affect integration functionality
• Third-party service providers' handling of your data
You are responsible for maintaining valid credentials and configurations for your connected integrations.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
KOLVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO KOLVA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
AI-GENERATED CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY. YOU ACKNOWLEDGE THAT AI PREDICTIONS, RECOMMENDATIONS, AND ANALYSES ARE PROBABILISTIC AND SHOULD NOT BE THE SOLE BASIS FOR BUSINESS DECISIONS.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Kolva has been advised of the possibility of such damages.

Indemnification
You agree to indemnify, defend, and hold harmless Talentee LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your Customer Data or any content you submit through the Service
• Any claim by a third party related to your use of the Service

Termination
Either party may terminate these Terms:
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your account immediately if you breach these Terms.
• We may discontinue the Service with 90 days' written notice.
Upon termination:
• Your right to use the Service ceases immediately (or at end of billing period for voluntary cancellation)
• You may export your Customer Data within 30 days
• We will delete your Customer Data within 90 days of the export period
• Any outstanding payment obligations survive termination
• Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination

Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from these Terms will be resolved through:
1. Good faith negotiation between the parties (30-day period)
2. Binding arbitration under the rules of the American Arbitration Association (AAA) in Wilmington, Delaware
3. Either party may seek injunctive relief in the courts of Delaware for intellectual property disputes
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

General Provisions
• Entire Agreement: These Terms, together with the Privacy Policy, DPA, and any applicable Order Form, constitute the entire agreement between you and Kolva.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights freely.
• Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.
• Notices: We may send notices via email or in-app notification. You may send notices to legal@kolva.ai.
• Amendments: We may modify these Terms by posting updates on our website. Material changes will be communicated with 30 days' notice.
